PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE TERMS FORM A BINDING AGREEMENT BETWEEN YOU AND OUTSCAL TECHNOLOGIES PRIVATE LIMITED ("OUTSCAL", "WE", "US", "OUR"). BY ACCESSING OR USING THE OUTSCAL VIDEO GENERATOR AND RELATED SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Interpretation and Definitions

Effective Date: The date you create an account, click "Sign Up" (or similar), purchase a subscription, or otherwise access or use the Services.

"Company"
OUTSCAL TECHNOLOGIES PRIVATE LIMITED, E-204 FF Double Story Ramesh Nagar Block-C, West Delhi, Delhi 110015, India.
"Services"
The Outscal video generation product, website, application, APIs, subdomains, and any related features or services we offer.
"Product" / "Platform"
The website and app-based platform through which the Services are delivered.
"User"
Any person who accesses or uses the Services, including registered and unregistered visitors where applicable.
"Member"
A registered user with an account on the Platform.
"Visitor"
An unregistered user who browses the Platform without creating an account.
"Credits"
Prepaid units granted via subscription (monthly/yearly) or other program(s), which may be consumed to generate videos or use features that require processing. Credits are not cash, are not legal tender, and are not redeemable for cash.
"User Content"
Any content you submit to the Services, including prompts, text, images (if supported), feedback, messages, and other materials.

2. Application of Terms

These Terms apply to the Platform and Services in all formats, including mobile applications, websites, related subdomains, and any other channels through which the Services are made available.


3. Contract; Assent and Consent

By clicking "Join", "Sign Up", "Subscribe", or similar, registering, accessing, or using the Services, you agree to enter into a legally binding contract with Outscal. If you do not agree to these Terms, do not use the Services.

Your use of the Services is also subject to our Privacy Policy and any other policies posted on the Platform, which may be updated from time to time.


4. Eligibility

The Services are intended for users who are at least 18 years old (the "Minimum Age"), unless applicable law requires a higher age. By using the Services, you represent that you meet the Minimum Age requirement and are not barred from using the Services under any applicable law.


5. Account Registration and Security

Some parts of the Services require registration. You agree to provide accurate, complete, and up-to-date information and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

  • Notify us immediately of any unauthorized use of your account or security breach.
  • Do not share your account or allow others to access it.
  • We may suspend or terminate accounts for inaccurate information, suspected misuse, or security concerns.

6. Nature of Service; Credits

The Services allow users to generate videos using prompts and other inputs. The Services generally operate on a credit-based model: you receive credits via monthly or yearly subscriptions (and sometimes via promotions), and credits may be consumed to generate videos and use certain features.

  • Credits are tied to your account and are non-transferable.
  • Credits are not redeemable for cash and cannot be exchanged for money.
  • Credit consumption rules may vary by feature and may change as we improve the Service.
  • We may introduce limits, throttling, or fair-usage controls to protect the Service and other users.

7. Your Content and Prompts

7.1 Ownership

You retain ownership of the User Content you submit. You represent and warrant that you have all necessary rights to submit such User Content and that it does not infringe any third-party rights.

7.2 License to Operate the Service

You grant Outscal a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display your User Content solely to provide, maintain, and improve the Services, including generating videos based on your prompts and operating related features (such as moderation, support, and security).

7.3 Feedback

If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation to you.


8. User Conduct and Prohibited Uses

You agree to use the Services lawfully and in accordance with these Terms. You agree not to:

  • Access or use the Services for any illegal purpose or in violation of any law.
  • Reverse engineer, disassemble, decompile, or otherwise extract source code from the Services.
  • Transmit malware, spam, phishing, pharming, whaling, or deceptive source-identifying information.
  • Harass, bully, threaten, defame, or otherwise harm other users, instructors, personnel, or third parties.
  • Use the Services to infringe intellectual property, privacy, publicity rights, or other rights of others.
  • Use the Services to generate or distribute unlawful content or content that violates applicable law.
  • Attempt to circumvent usage limits, credit rules, or technical restrictions.

We may investigate violations and may report suspected illegal activity to law enforcement, where appropriate.


9. Pricing, Billing, and Subscriptions

9.1 Pricing

Prices for subscriptions and Services are shown at checkout and may vary by plan, currency, taxes, promotional discounts, and other factors. The price applicable is the price displayed at the time you complete purchase.

9.2 Billing Authorization

By purchasing a subscription, you authorize us (and our payment providers) to charge your selected payment method on a recurring basis (monthly or yearly, depending on your plan), until you cancel. You represent that you are authorized to use the payment method.

9.3 Failed Payments

If a payment fails, we may retry billing and may suspend or limit access until payment is successfully completed.

9.4 Refunds

Refunds (if any) are governed by our Refund Policy. Credits are not redeemable for cash.


10. Intellectual Property

The Company reserves all intellectual property rights in and to the Services, including the Platform, software, designs, trademarks, logos, and associated materials. These Terms do not grant you any ownership rights in the Services.

You may not use our trademarks, service marks, or logos without prior written permission.


11. Third-Party Links and Services

The Services may contain links to third-party sites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.


12. No Warranties; Disclaimer

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

We do not guarantee uninterrupted operation, error-free outputs, or that generated videos will meet your requirements.


13. Limitation of Liability

To the extent permitted by law, Outscal and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, opportunities, goodwill, or reputation arising out of or related to your use of the Services.

Some laws do not allow certain limitations, so some of these limitations may not apply to you.


14. Indemnity

Subject to applicable law, you agree to indemnify and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your access to or use of the Services;
  • Your User Content or prompts;
  • Your violation of these Terms or applicable laws; or
  • Your infringement of any third-party right.

15. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if we believe you violated these Terms or if required to do so for legal or security reasons.

Upon termination, your right to access the Services ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.


16. Dispute Resolution; Arbitration

The Parties agree to attempt good-faith negotiations to resolve disputes. If a dispute cannot be resolved by negotiation, it will be referred to arbitration.

Arbitration shall be held in Delhi, India and conducted in accordance with the Arbitration and Conciliation Act, 1996 (or any statutory modification/re-enactment). Each party shall appoint one arbitrator, and the two arbitrators shall appoint a third/presiding arbitrator. Proceedings shall be in English. The award shall be final and binding. Courts at Delhi shall have jurisdiction for matters connected with this Contract, subject to arbitration.

Each party bears its own costs of preparing and presenting its case. Arbitration fees and expenses shall be shared equally unless the award provides otherwise.


17. Force Majeure

Neither party will be liable for delays or failures to perform due to causes beyond reasonable control, including acts of God, natural disasters, epidemics, war, riots, strikes, internet or infrastructure failures, and other similar events ("Force Majeure").

If Force Majeure continues for more than one (1) month, the agreement may be terminated by mutual consent, and the affected party will be relieved from performing the remaining obligations to the extent impacted.


18. Changes to the Services and Terms

We may withdraw, modify, or update the Services (including features, limits, credit rules, and availability) at our discretion. We may also update these Terms from time to time by posting the revised Terms on the Platform and updating the "Last updated" date.

If we make material changes, we may provide notice through the Services or by other means. Your continued use after changes become effective means you accept the updated Terms. If you do not agree, you must stop using the Services.
